A lot of businesses begin in a Free Zone to benefit from lower setup costs and a quicker incorporation process. As the business expands and starts serving more clients within the UAE, moving to a Mainland structure often becomes the next logical step.
There are generally two ways to make this transition:
1. Register a Mainland Branch (Most Common Option)
This is often the preferred route because it allows you to continue operating your existing Free Zone company while also establishing a Mainland presence.
With this approach, you can:
- Trade directly in the UAE market.
- Expand your business operations.
- Hire additional employees as your company grows.
- Continue benefiting from your existing corporate history.
2. Convert to a Mainland License
Another option is to transition completely from a Free Zone company to a Mainland company.
This typically involves:
- Cancelling the existing Free Zone license.
- Applying for a new Mainland license through the relevant economic authority.
- Updating your legal documents to reflect the new jurisdiction.
Many business activities today allow 100% foreign ownership, although the exact ownership structure will depend on the activity you choose and the regulations in force at the time of conversion.
During the migration process, you may also need to complete steps such as:
- Obtaining initial approval from the Mainland authority.
- Securing a No Objection Certificate (NOC) from your Free Zone authority.
- Amending your Memorandum of Association (MOA).
- Arranging a Mainland office lease before the final license is issued.
One thing I'd like to add is that planning ahead makes a big difference. If you think there's a strong possibility that you'll move to the Mainland in the future, it's worth choosing your Free Zone and business structure carefully from the beginning. This can make the transition much smoother later.
