The answer is yes, a Free Zone company in UAE can absolutely have a limited liability structure. In many Free Zones, you'll come across names such as FZ-LLC (Free Zone Limited Liability Company), FZE (Free Zone Establishment) for a single shareholder, or FZCO for multiple shareholders. Although the names differ, they all provide limited liability, meaning your personal assets are generally protected, and your liability is limited to your investment in the company.
One of the biggest advantages of a Free Zone LLC is that it allows 100% foreign ownership, so you don't need a local partner to establish your business.
The main difference isn't the liability structure, it's where the company is allowed to operate. A Free Zone company is primarily licensed to operate within its Free Zone and internationally. If you want to trade directly in the UAE mainland, you may need additional approvals, a mainland licence, or a local distributor, depending on your business activity.
Another difference is the licensing authority. A mainland LLC is regulated by the Department of Economy and Tourism (or the relevant emirate's economic department), whereas a Free Zone LLC is governed by the authority of the Free Zone where it's registered.
So, if your goal is international business, consulting, e-commerce, or regional expansion while retaining full foreign ownership, a Free Zone LLC can be an excellent option.
