Hi, I'm Mark from Portugal. I'm confused about whether I should register my business as a Mainland company or in a Free Zone in Dubai. Which option would you recommend?

Hi Mark,

This is probably one of the most common questions entrepreneurs ask before setting up a business in the UAE.

The reality is that there isn't a single "best" option. The right choice depends entirely on where you plan to do business, who your customers are, and how you expect your company to grow.

Here's a simple comparison that usually helps.

Mainland Company

Free Zone Company

Can trade directly anywhere across the UAE.

Primarily suited for international business and operating within the free zone.

Eligible to bid for government and public sector contracts.

Direct mainland trading generally requires a distributor or additional permit.

Requires a physical office with an Ejari tenancy contract.

Many free zones offer cost-effective flexi-desks and shared office options.

Subject to UAE Corporate Tax rules (9% on taxable profits above AED 375,000).

Qualifying Free Zone Persons may benefit from a 0% corporate tax rate on qualifying income, subject to meeting the relevant conditions.

Ideal for businesses serving the UAE local market.

Excellent for startups focused on exports, consulting, e-commerce, or international clients.

When should you choose Mainland?

A mainland company is usually the better choice if you:

  • Want to sell directly to customers across the UAE.
  • Plan to work with government entities.
  • Expect to open multiple retail outlets or physical branches.
  • Need maximum flexibility for future expansion.

When is a Free Zone more suitable?

A free zone setup often makes sense if you:

  • Primarily serve overseas clients.
  • Want a faster and more cost-effective incorporation process.
  • Prefer lower office overheads.
  • Intend to operate an online, consulting, or export-focused business.

Rather than asking which structure is better, I'd suggest asking which structure aligns better with your business goals. The answer is different for every entrepreneur, and choosing the right setup from day one can save considerable time and restructuring costs later.
