Hi, I'm Eduardo from Mexico. I'm planning to establish my first company in Dubai. Could you explain what is actually involved in mainland company formation and what I should expect during the process?

Hi Eduardo,

I'm Hemant Katyal, and this is a great question because many entrepreneurs assume company formation is just about getting a trade licence. In reality, there are several important steps involved to ensure your business is legally established and ready to operate.

A mainland company formation in Dubai is the process of registering your business with the Dubai Department of Economy and Tourism (DET). Once licensed, your company can operate throughout the UAE, trade directly with the local market, and expand internationally.

The process generally includes the following stages:

  • Select your business activity by choosing the commercial, professional, or industrial activities approved by the DET.
  • Decide on the legal structure, such as a Limited Liability Company (LLC), Sole Proprietorship, or another structure that suits your business.
  • Reserve your trade name, ensuring it complies with the UAE's naming regulations.
  • Obtain initial approval from the DET before moving ahead with the incorporation.
  • Lease a physical office and register the tenancy contract through Ejari, as a mainland business requires a registered address.
  • Prepare the legal documentation, including the Memorandum of Association (MOA) or, where applicable, a Local Service Agent (LSA) agreement.
  • Submit the final application and government fees to receive your mainland trade licence.

After your licence is issued, there are a few additional formalities to complete before your business is fully operational. These include applying for your establishment card, processing investor or employee residence visas, and completing corporate tax registration where required under UAE regulations.

Although the process may seem detailed, careful planning at the beginning—especially when selecting the right business activity and legal structure—can help avoid unnecessary delays and make future expansion much easier.
