Hi, I'm Oliver from New Zealand. I'm planning to register a business in Dubai Mainland, but I'm confused about the different company structures available. Could you explain the main types and who they're best suited for?

Dubai Mainland offers several company formation options, each designed for different business goals, ownership models, and industries. The right choice depends on the type of business you want to operate and how you plan to grow in the future.

Limited Liability Company (LLC)

An LLC is the most common and widely preferred business structure in Dubai Mainland. It is suitable for most commercial and industrial activities and can have 1 to 50 shareholders. Each shareholder's liability is limited to the value of their ownership in the company, making it an ideal option for entrepreneurs and growing businesses.

Sole Establishment

If you're planning to operate your business alone, a Sole Establishment may be the right choice. This structure is owned by a single individual who has complete control over the business, although the owner is also personally liable for its obligations.

Civil Company

Professionals such as consultants, doctors, architects, engineers, accountants, and lawyers often choose a Civil Company. This structure is specifically designed for professional service providers who wish to practice under a recognised legal entity while working with one or more professional partners.

Public & Private Joint Stock Companies

For larger businesses seeking significant investment or planning future expansion, Dubai also offers:

  • Public Joint Stock Company (PJSC) – Suitable for companies intending to raise capital through public share offerings.
  • Private Joint Stock Company (PrJSC) – Designed for businesses funded by private investors without public subscription.

These structures are generally used by large corporations rather than SMEs or startups.

Branch or Representative Office

Existing companies can also establish a Branch Office or Representative Office in Dubai Mainland. This allows a UAE Free Zone company or an overseas parent company to expand its presence in the UAE without creating a completely new legal entity.

Every structure has different legal, operational, and compliance requirements, so selecting the right one from the beginning can save both time and costs as your business grows.
