H, I'm Jason from Canada. My business partner and I are planning to start a company in a UAE Free Zone together. Can a Free Zone company have multiple shareholders, or is it only allowed for a single owner?

Hi Jason,

Yes, absolutely. A UAE Free Zone company can have multiple shareholders. In fact, many entrepreneurs choose this structure when starting a business with partners, family members, or even another company.

If you're registering with more than one shareholder, the company is typically incorporated as an FZCO, FZ-LLC, or FZC, depending on the rules of the particular Free Zone. A single-owner company is usually registered as an FZE.

One of the biggest advantages is that 100% foreign ownership is permitted, so you and your partner can own the business without needing a local sponsor.

Shareholders can be:

  • Individual entrepreneurs.
  • Corporate entities.
  • Or even a combination of both.

The number of shareholders allowed varies from one Free Zone to another. While many Free Zones allow anywhere between 2 and 50 shareholders, it's always worth checking the specific regulations of the jurisdiction you're considering.

Before deciding on the ownership structure, I'd also recommend discussing how shares, voting rights, profit distribution, and management responsibilities will be divided. Having these points agreed upon from the beginning makes running the business much smoother as it grows.
